1. Introduction

Diligencia is owned and operated by Diligencia Global Limited (Company No. 15825261) (physical address 3rd Floor 86-90 Paul Street, London, England, EC2A 4NE, United Kingdom • email address: notices@diligencia.io) (“Diligencia”). By registering an account or accessing the website (https://www.diligencia.io/) to use Diligencia’s services (“Service”), the customer (“you” / “your” / “yours”) agrees to comply with and be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before you use the Service.

2. Use of the Service

2.1 Eligibility

You must be at least 18 years old to use the Service.

2.2 Account Registration

You may need to create an account to access certain features of the Service. You are responsible for maintaining the security or your account, for the confidentiality and accuracy of your account information and for all activities that occur under your account.

2.3 Unauthorised Account Use

If you become aware of any unauthorised use of your account, you must immediately notify Diligencia by email at the address above.

2.4 Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service in any way that could damage, disable, overburden, or impair Diligencia’s servers or networks, or which may damage Diligencia’s reputation.

2.5 User Content

By uploading documents, information and any content (“Content”) to the Service, you grant Diligencia a non-exclusive, worldwide, royalty-free license to process and analyse the Content for the purpose of extracting key dates, terms, and facts as part of the Service. You also grant Diligencia the right to transmit the Content to third-party AI services (including but not limited to OpenAI's ChatGPT) in order to extract key facts, entities, and summaries from the Content.

3. Service Order

These Terms must be read with the written services order form/s agreed between you and Diligencia (“Order”) from time to time. If there is a conflict between these Terms and an Order, these Terms shall take precedence.

4. Fees

4.1 Payment Date

Fees are payable in the currency, and on the basis and dates set out in the Order.

4.2 Payment Method

You must ensure that your payment methods and details are valid, accurate and up to date. You are responsible if your chosen payment method is declined or not available to charge when payment is due. Diligencia may reject any payment method at any time for any reason it considers appropriate in its discretion.

4.3 Non-Payment

If you fail to pay by due date or there is an issue with your payment method causing a payment to be refused, revoked or reversed, Diligencia may immediately suspend, disable or cancel your account until you have paid and/or until Diligencia has successfully charged a payment method. If you believe this has occurred in error, you must promptly contact Diligencia at notices@diligencia.io to rectify the issue.

5. Content Responsibility

You are solely responsible for the accuracy and completeness of the Content you provide to the Service. You represent and warrant that you have the necessary rights to upload and share the Content and that it does not violate any laws or third-party rights.

6. Intellectual Property

6.1 Diligencia's Rights

All intellectual property rights in the Service, including but not limited to the software (including source code), text, graphics, logos, and trademarks, is owned by Diligencia or its licensors. You may not use, reproduce, or distribute any content from the Service without Diligencia’s prior written permission.

6.2 User Content

You retain all rights in and to the Content.

7. Privacy

By using the Service, you agree to Diligencia’s Privacy Policy (“Policy”) which explains how Diligencia collects, uses, processes and protects your personal data. You consent to the collection and use of your personal data as described in the Policy. To access the Policy, please click here.

8. Termination

8.1 Termination by You

You may terminate your account at any time by giving 7 calendar days’ prior written notice to Diligencia at notices@diligencia.io. You remain liable for any fees or charges that accrued prior to termination.

8.2 Termination by Us

Diligencia may terminate or suspend your account and/or access to the Service at any time by giving you 7 calendar days’ prior written notice, or without notice, if Diligencia believes, in its sole discretion, that you have violated these Terms or any applicable laws.

9. Disclaimers and Limitation of Liability

9.1 No Warranty

You use the Service entirely at your own risk. The Service is provided on an "as is" and "as available" basis. Diligencia makes no warranties, express or implied, regarding the Service, including but not limited to its reliability, accuracy, or suitability for your purposes.

9.2 Limitation of Liability

To the maximum extent permitted by law, Diligencia will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or related to your use of or inability to use the Service, even if Diligencia has been advised of the possibility of such damages. Despite the above, Diligencia’s total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise, be limited to the maximum actual fees paid to Diligencia in the annual billing cycle period immediately preceding the date on which the event giving rise to the claim occurred.

10. Governing Law

These Terms will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these Terms

Diligencia may update these Terms from time to time. Any changes will be posted on this page with an updated Effective Date. Your continued use of the Service on or after such updated Effective Date constitutes your acceptance of the new Terms.
